2. Objectives (expected learning outcomes)
- Advanced knowledge and insight re certain topics of company law
- Skills: reporting both orally and in writing, analysis of legal issues, developing well-founded and practical solutions, reasoning, debating


3. Course content

A broad range of company law subject matters and themes, i.a. incorporation of a company, organization and functioning of a company’s management and direction, Corporate Governance, conflict of interest, directors’ liability, shareholders’ agreements, mergers and (partial) demergers and other types of restructuring, formation and protection of share capital, mergers & acquisitions, public take-over bids and protective measures, winding-up and liquidation of a company, silent and other partnerships, non-profit associations, foundations, … 

These topics will be examined and discussed collectively. Some of these topics will be developed in depth by means of cases, for which the students are required to write a short paper.
